SEO Campaign Terms and Conditions

• In the body of the Terms & Conditions to follow, the term "the Client" refers to the person or company having entered into an agreement with SEO Deutschland for a SEO [Search Engine Optimisation] campaign or other Internet Marketing services.
• The term "Contract Web Site" refers to the web site that is specified in "the Contract" for SEO between SEO Deutschland and the Client.
• The term "the Contract" refers to the existing contract or anticipated contract between SEO Deutschland and the Client for SEO "Work" on the "Contract Web Site".
• The term "Work" relates to any optimisation or SEO activity provided by SEO Deutschland on or apart from the "Contract Web Site".

SEO Deutschland provides SEO services in good faith and so requires a reciprocal relationship with the Client. Under this understanding:

1. General

SEO Deutschland requires the client to refrain from the following practices whilst the contract is in force:

1. The Client has not employed the services of any Search Engine Optimisation Company other than SEO Deutschland to work on their website promotion.
2. The Client has not employed the services of any Submission Company during the same period of SEO Deutschland providing their search engine optimisation services.
3. The Client has not created any duplicate sites, duplicate content or pages, redirects or doorway pages to their website whilst advertising online with SEO Deutschland.
4. The Client has not requested or exchanged links with any link farms or undertaken any spamming techniques which may harm the web site's search engine ranking with Google.
5. Any other unspecified SEO or SEO related activity that may risk harming the Contract Web Site, its Page Rank or its Google status whilst the contract is in force.

1. The Client must inform SEO Deutschland in writing if any of the above is currently or has been undertaken prior to contract. If any such work has been undertaken within 2 years prior to the contract, SEO Deutschland will not be held responsible for any former guarantees or targets nor, under these circumstances, could SEO Deutschland confirm any anticipated successes resulting from the Contract. SEO Deutschland will reserve the right to withdraw from any contract with the client if evidence of any such pre-emptive actions surface as damage to the creditability of the Contract Web Site may be evident only slowly and over a considerable time span.
2. All Works related to the Contract Web Site must be undertaken or sanctioned in writing by SEO Deutschland to prevent conflicts within the web site, conflicts with other web sites or conflicts with Google and other search engines. .
3. SEO Deutschland may, at its discretion, avoid or have the option to renegotiate the contract if any of the features of infringement items in 1.2 to 1.5 apply.

2. Hosting

1. The Customer agrees that their website is not hosted on free web space using domain forwarding (either framed or otherwise) whilst advertising online with SEO Deutschland.
2. When advertising online with SEO Deutschland, in cases where there is either concern that the current hosting IP address may be part of a 'bad neighbourhood' or for reasons of search engine optimisation, SEO Deutschland may request the customer to change their hosting provider whilst using our internet marketing search engine optimization techniques.

3. 3rd Party Fees

1. The contract includes no provision for third party payments for promotional work outside the control of SEO Deutschland. From time to time, various outside promotions may be discussed with the client. Any agreement to extend promotion work to a third party must be agreed in writing by SEO Deutschland.
2. For control purposes, these fees will be paid by SEO Deutschland and charged monthly to the client together with a 10% administration fee. This may or may not include such services as GoogleAds™.

4. Access to customer website

1. To enable SEO Deutschland to undertake SEO on the Contract Web Site, the Client grants authority to submit the web Contract Web Site to search engines and selected directories.
2. SEO Deutschland will retain the ability to change the structure and content of the Contract Web Site. The SEO Deutschland work will endeavour not to harm the appearance of the Contract Web Site or any legally sensitive texts of the Contract Web Site, but onus is on the client to approve or disapprove all changes to the visual part of the Contract Web Site.
3. SEO Deutschland must retain username and password log-on information to enable FTP access to the Contract Web Site. Under the current Data Protection Legislation, SEO Deutschland will maintain confidentiality of log-in and all other confidential information provided by the client. The provision of such log-in data and other sensitive information by the client will be deemed to imply an approval to retain the data in the absence of any specific approval statement in the contract.
4. The Client must inform SEO Deutschland of any other person or company that would have access to or be likely to request access to the Contract Web Site.
5. SEO Deutschland endeavours to satisfy all parties who have an interest in the Contract Web Site content. However, the client must allow SEO Deutschland to deliver all SEO strategies on the Contract Web Site without interference.
6. The client is responsible for ensuring that the Contract Web Site is continually accessible by Internet users and accessible by SEO Deutschland for SEO maintenance at all times.

5. Payment Terms

1. The client shall pay the first fee within 7 days of signing the agreement.
2. After the first payment, the following monthly campaign costs have to be paid in 30 days intervals.
3. Each SEO campaign got a minimum duration of 6 months.
4. In the event of the client failing to make the monthly payment to SEO Deutschland, SEO Deutschland will stop the campaign within 2 labour days.

6. Cancellation of Service

1. SEO Campaigns run for a minimum duration of 6-month.
2. Campaigns cannot be cancelled within the first 6 months, as all SEO work is dependent on Search Engine responses. These responses can be separated by quiescent periods that are often of long duration.

7. Privacy Policy

1. SEO Deutschland hold a strict privacy policy and promise to never divulge your details to any other client, existing or potential.
